1. Agreement & scope These Terms of Use («Terms») govern your use of www.helpy.az, ai.helpy.az, and related Helpy web properties (the «Site»), contact and venture (startup/investment) forms, newsletter sign-ups, and the Helpy Classroom AI learning platform («Classroom»). By using the Site you accept these Terms and operating standards aligned with the Intryl network. 2. Who we are Helpy («we», «us») delivers IT consulting, software, cloud, cybersecurity, integrations, robotics, event technology, and AI-powered education in Azerbaijan and the wider region. Helpy operates as part of the Intryl network; specific projects may involve Intryl partners under separate agreements. 3. Services & commercial terms Scope, timelines, pricing, SLAs, and payment terms for professional services are agreed only in a written proposal, contract, or order document. Content on the Site—including case studies, blog posts, and Classroom materials—is informational. It is not a fixed quote, investment commitment, or guaranteed statement of work. 4. Acceptable use You must not: submit unlawful content; attempt to harm our systems or other users; overload the Site with automated traffic; send fraudulent or abusive submissions; or infringe third-party rights. You are responsible for the accuracy of information you provide in forms and accounts. 5. Contact & venture submissions Information submitted through contact and venture forms is delivered to hello@helpy.az and reviewed manually and confidentially by our team. A response does not create an investment, partnership, or binding commercial obligation. Abusive, false, or harassing submissions may be rejected and access restricted. 6. Investment & startup intake All investment decisions are human-led. Submitting a form does not guarantee funding, valuation, or investor status. Amounts mentioned on the Site for robotics or prototype discussions (e.g. review thresholds) are indicative only and always subject to manual assessment and risk review. 7. Helpy Classroom (AI learning) Classroom output is for education and practice—not legal, tax, medical, or investment advice. AI responses may be incorrect; verify important decisions independently. Learning topics, chat content, and session data may be processed to operate the service, maintain safety, and improve quality. Custom topic validation may use third-party AI providers (e.g. Google Gemini) under our privacy policy. 7.1 Subscriptions & usage limits Free and paid plans (priced in AZN) may include daily or monthly limits on certain AI features. Plus/Pro may offer a 3-day trial; after the trial, monthly billing may apply when a payment provider is enabled. Cancellation takes effect at the end of the current trial or billing period; access continues until then. Refunds for an already-started paid period are not offered in v1. In development/test environments, payments may run in mock mode with no real card charge. If your plan downgrades, your existing lessons and progress remain; only new premium AI actions may be restricted. 8. Intellectual property Site design, branding, copy, and code (except where open-source licences apply) belong to Helpy or licensors. Unauthorised copying, resale, or commercial reuse is prohibited. 9. Third-party services The Site may rely on hosting, analytics, email (Resend), and AI APIs; their terms may also apply. We are not responsible for external websites linked from the Site. 10. Disclaimer of warranties The Site and Classroom are provided «as is» without warranties of uninterrupted or error-free operation. 11. Limitation of liability To the fullest extent permitted by law, Helpy’s liability for indirect, consequential, or lost-profit damages arising from use of the Site is limited. 12. Changes We may update these Terms; continued use after publication constitutes acceptance. Material changes may be communicated by reasonable means. 13. Governing law These Terms are interpreted under the laws of the Republic of Azerbaijan, and disputes are subject to the competent courts unless otherwise agreed in writing for a specific contract. 14.
